    TERMS AND CONDITIONS OFSALE

     

    Unless otherwise specified on the face of the invoice, the following will apply to the sale by BISHOP INTERNATIONAL to the named purchaser (“Buyer”), of the products specified on the face thereof (“Products”) and any related services provided by BISHOP INTERNATIONAL.  If any term or condition stated herein is rendered void or unenforceable by legislation or judicial action to which BISHOP INTERNATIONAL is subject, it shall only be void or unenforceable to that extent, and no further, with respect to that term or condition, and shall not affect the enforceability of the remaining terms and conditions herein.

    1. PRICES.  Except as otherwise noted on the face of invoice, BISHOP INTERNATIONAL prices do not include taxes and other governmental fees, assessments, duties and charges payable as a result of this transaction.  Wherever applicable, taxes, fees, assessments, duties and charges will be added to the invoices as separate charges to be paid by Buyer.

    2. SHIPMENTS.  Products may be shipped by any carrier, route or means reasonably selected by BISHOP INTERNATIONAL.  Unless otherwise noted on the face of BISHOP INTERNATIONAL invoice, title to the Products and risk of their loss or damage will pass to Buyer upon shipment of the Products from BISHOP INTERNATIONAL works and Buyer bears cost of shipment.  If Buyer’s order is for multiple types of Products, such Products may be shipped in lots of similar Products, as reasonably determined by BISHOP INTERNATIONAL, and each such lot will be paid for separately.  No nonconformity or defect in any lot will constitute a breach of BISHOP INTERNATIONAL’s selling order, and any lots whose conformity and condition Buyer does not dispute will be paid for in accordance with these terms and conditions, regardless of any dispute concerning other shipments or undelivered Products.

    3. PAYMENTS.  Payment of the entire purchase price is to be made by Buyer to BISHOP INTERNATIONAL prior to shipment unless otherwise specified on the face of the invoice.  If terms are extended BISHOP INTERNATIONAL reserves the right to charge interest on any unpaid balance at a rate of up to 1.0% per month from the due date, or the maximum rate permitted by applicable law, whichever is less.  BISHOP INTERNATIONAL may suspend or cancel deliveries of ordered Products if Buyer fails to pay any amount due by it to BISHOP INTERNATIONAL for any goods or services.  All payments from Buyer shall be made in United States currency only and payable in Summit County, Ohio, U.S.A.

    4. RETURNS, CANCELLATIONS, and ASSIGNMENTS.  If Buyer is not completely satisfied with the Products for any reason, Buyer may return the Products to BISHOP INTERNATIONAL within thirty (30) days of Buyer’s receipt of the Products for a full refund of the purchase price.  Shipping costs shall not be refunded. Returned products must be in new/unused condition.    No Product (whether or not it is defective or non-conforming) may be returned under this Return policy without BISHOP INTERNATIONAL’s prior written consent.  If a Product is returned with such consent, it shall thereupon become the property of BISHOP INTERNATIONAL.  Any assignment of Buyer’s rights or obligations hereunder will be void without BISHOP INTERNATIONAL’s written consent.  Shipping costs are the responsibility of the Buyer upon any Return under this policy.  Buyer may cancel or change any Order prior to the shipping of the Products by BISHOP INTERNATIONAL only with the prior written consent of BISHOP INTERNATIONAL.

    5. USE of BUYERS PROPERTY.  Any materials, designs, or property of Buyer’s, which are used by BISHOP INTERNATIONAL, shall be stored and kept in good condition by BISHOP INTERNATIONAL, and BISHOP INTERNATIONAL will replace any such property that is damaged or destroyed.  Any use by BISHOP INTERNATIONAL of Buyer’s property in the process of producing Products or rendering services shall constitute a binding agreement for Buyer to purchase Products.  Buyer waives its right to cancel or return any Products or services in the event that those Products or services were produced using Buyer’s property.

    6. CUSTOM GOODS or SERVICES:  Any Products produced or services rendered, which are so specific to the Buyer (“Specials”) so as not to be resalable or reusable shall constitute a binding agreement to purchase the specials waiving Buyer’s right to cancel or return.

    7. EXPORT COMPLIANCE:  Buyer shall comply with all applicable export laws at the point that the Product is transferred from BISHOP INTERNATIONAL’s possession to Buyer’s possession.  At no time after such transfer shall BISHOP INTERNATIONAL be held responsible for any fees, taxes, duties or charges for any violation of U.S. or foreign export laws, rules or regulations.  Buyer agrees to indemnify and hold harmless BISHOP INTERNATIONAL for any losses sustained as a result of Buyer’s failure to comply with U.S. or foreign import and export laws rules or regulations in connection with the Products.

    8. INFRINGEMENT.  Buyer shall ensure that no property, materials or designs provided by Buyer and used by BISHOP INTERNATIONAL infringes any trademark, patent or copyright.  Buyer will indemnify, defend and hold harmless BISHOP INTERNATIONAL from any claims, damages, losses, liabilities and expenses (including attorney’s fees) resulting from an action for patent, trademark or copyright infringement.  BISHOP INTERNATIONAL reserves the right to require Buyer to demonstrate satisfactory assurance of performance of Buyer’s indemnity and other obligations to BISHOP INTERNATIONAL, including appropriate evidence of insurance coverage.  Buyer’s refusal or failure to promptly furnish such assurances will be in breach of contract and will entitle BISHOP INTERNATIONAL to suspend, or cancel further Product deliveries hereunder.

    9. NO WARRANTY – AS IS.

    a.  BISHOP INTERNATIONAL MAKES NO WARRANTIES, EITHER EXPRESS OR IMPLIED, REGARDING THE PRODUCTS COVERED HEREBY INCLUDING (WITHOUT LIMITATION) ANY IMPLIED WARRANTIES OF MERCHANTIBILITY, OR FITNESS FOR A PARTICULAR PURPOSE.  THE PRODUCTS ARE SOLD TO BUYER AS IS AND WITH ALL FAULTS.  NO EMPLOYEE, AGENT, OR REPRESENTATIVE OF BISHOP INTERNATIONAL IS AUTHORIZED TO MAKE ANY REPRESENTATION OR WARRANTY ON BEHALF OF BISHOP INTERNATIONAL EXCEPT TO THE EXTENT SPECIFICALLY STATED HEREIN.

    b.  The Products’ original manufacturer’s warranty may also apply, but any such warranties are exclusively those of the manufacturer and not of BISHOP INTERNATIONAL.

    10. LIMITATION OF LIABILITY.  IN NO EVENT, WHETHER BASED ON BREACH OF WARRANTY OR CONTRACT, NEGLIGENCE, STRICT LIABILITY IN TORT OR ANY OTHER LEGAL THEORY, (A) SHALL BISHOP INTERNATIONAL BE LIABLE FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR COSTS ARISING OUT OF THE SELECTION, ORDERING, PURCHASE, USE, RESALE OR DISTRIBUTION OF THE PRODUCTS COVERED HEREBY OR OTHERWISE, EVEN IF BISHOP INTERNATIONAL HAS BEEN ADVISED OF THE POSSIBLITY OF SUCH DAMAGES, NOR (B) SHALL BISHOP INTERNATIONAL’S TOTAL LIABILITY TO BUYER AND ANY THIRD PARTIES WITH RESPECT TO ANY SPECIFIC PRODUCT AND ANY RELATED SERVICES EXCEED THE PURCHASE PRICE TO BISHOP INTERNATIONAL FOR THAT PRODUCT AND SUCH SERVICES.  SUCH DAMAGES THAT BISHOP INTERNATIONAL WILL NOT BE LIABLE FOR INCLUDE, BUT ARE NOT LIMITED TO: LOSS OF PROFITS, SAVINGS OR REVENUE; LOSS OF USE OF A PRODUCT OR ANY ASSOCIATED EQUIPMENT; COST OF CAPITAL; COST OF ANY SUBSTITUTE GOODS, EQUIPMENT, FACILITIES OR SERVICES; DOWNTIME; AND, THE CLAIMS OF THIRD PARTIES INCLUDING BUYER’S CUSTOMERS.

    11. EXTENUATING CIRCUMSTANCES and SHORTAGES.  BISHOP INTERNATIONAL shall not be liable for loss or damage of any kind resulting from any delay in delivery or failure to supply ordered Products or otherwise carry out its obligations under this agreement due to causes beyond its control, and no such event will relieve Buyer of its obligations to make payments for other deliveries under this agreement.  BISHOP INTERNATIONAL reserves the right, in its sole judgment and without liability to Buyer, to allocate its available Product inventories as may be necessary or equitable in the event of any shortages of production capacity or Products at any time.

    12. OTHER PROVISIONS.  The laws of the state of Ohio, U.S.A shall govern and be used to construe this agreement and any claims or disputes related to this agreement.  Such laws shall exclude conflict of law provisions and the UN Convention on Contracts for the International Sale of Goods.  All actions or proceedings under or relating to this agreement shall be resolved in a state, or federal Northern District of Ohio court located in that jurisdiction; provided, however, that in BISHOP INTERNATIONAL’s discretion such an action may be heard in some other place designated by BISHOP INTERNATIONAL if necessary to acquire jurisdiction over third parties to consolidate the dispute into one action.  Buyer hereby agrees to appear in any such action, consents to the jurisdiction of such courts, and waives any objections it might have as to venue in any such court.  This agreement does not constitute a joint venture, partnership or other similar agreement.

    13. EXCLUSIVE TERMS and CONDITIONS.

        a. THE PROVISIONS OF THIS AGREEMENT ARE SOLELY FOR THE BENEFIT OF BISHOP INTERNATIONAL AND BUYER AND CANNOT BE CHANGED OR MODIFIED, EXCEPT BY A WRITTEN DOCUMENT SIGNED BY BISHOP INTERNATIONAL.  THIS DOCUMENT, TOGETHER WITH THE TERMS OF ANY RELATED PRIOR WRITTEN QUOTATION OR ACKNOWLEDGMENT OF BISHOP INTERNATIONAL THAT DO NOT CONFLICT HEREWITH, CONTAINS THE ENTIRE AND ONLY AGREEMENT BETWEEN THE PARTIES WITH RESPECT TO THE SALE OF THE PRODUCTS COVERED HEREBY AND ANY RELATED SERVICES AND SUPERCEDES ANY ALLEGED RELATED TERM, REPRESENTATION, PROMISE OR CONDITION NOT SPECIFICALLY INCORPORATED HEREIN.

        b. ANY RESPONSE TO OR CONFIRMATION OF THESE TERMS BY BUYER WHICH STATES DIFFERENT OR ADDITIONAL TERMS WILL BE OPERATIVE AS AN ACCEPTANCE OF THESE TERMS, BUT SUCH DIFFERENT OR ADDITIONAL TERMS ARE HEREBY REJECTED UNLESS SPECIFICALLY AGREED UPON IN WRITING BY BISHOP INTERNATIONAL.  NOTWITHSTANDING ANY DIFFERENT OR ADDITIONAL TERMS OR CONDITIONS CONTAINED IN BUYER’S PURCHASE ORDER OR OTHER COMMUNICATION, ANY OFFER OF BUYER WAS OR IS ACCEPTED ONLY ON THE CONDITION THAT BUYER ASSENTED OR ASSENTS TO THE TERMS AND CONDITIONS CONTAINED HEREIN.  BISHOP INTERNATIONAL’S FAILURE TO OBJECT TO PROVISIONS CONTAINED IN ANY COMMUNICATION FROM BUYER WILL NOT BE DEEMED A WAIVER OF THE PROVISIONS CONTAINED HEREIN.

    Shipping laws are different in each country. It is your responsibility to check with your Customs office to verify whether the country to which you are shipping permits the shipment of your products. Bishop International is not responsible for any direct, indirect, punitive, or consequential damages that arise from improper international shipping practices.

  • For any product defect within the first 30 days after receiving the product, please return the product to Bishop International Inc.  Contact customer service for a Return Material Authorization number 330-836-6947 8-5 M-F EST or j.bishop@bishopintl.com

    Bishop International Inc. does not administer any manufacturer warranties.  For any defective product past 30 days of receiving the product, please contact the manufacturer regarding their warranty.

  • If for any reason you are unhappy with your purchase you may return the item to Bishop International Inc. within 30 days of receipt of the item for a full refund, not including shipping.  Shipping is not refunded.
